2. Virtual Services Agreement
A. Scope
Services are delivered 100% remotely as:
Retainers (Worker Bee/Hive Builder/Queen Bee tiers)
One-time projects (defined in separate proposals)
Exclusions:
✖ In-person meetings ✖ Physical mail handling ✖ Local errands
B. Arizona-Specific Terms
Late Fees: 1.5% monthly (18% annually), compliant with ARS § 44-1201
Disputes: Mediation required in Maricopa County before litigation
3. Access & Security
A. Credential Policy
Clients must use:
✅ 1Password/Bitwarden shared vaults
✅ Gmail/Outlook delegated access
❌ No plaintext passwords via email/SMS
B. Data Protection
We comply with Arizona data breach laws (ARS § 18-545):
Notification within 45 days if Avondale residents affected
Encrypted backups stored on AWS US-West servers
4. Payment Terms
Fees: Non-refundable after services rendered
Taxes: Arizona TPT exempt for virtual services
Chargebacks: $50 fee + service termination
Cancellation Policy
5. Notice Period
Clients must provide written notice (email or via Calendly) at least 14 days before the next billing cycle to cancel or downgrade services.
Example: If billed on the 1st of the month, notice must be received by the 17th of the prior month.
6. Refunds & Final Invoices
No prorated refunds for mid-cycle cancellations. Clients retain access to services until the end of their paid billing period.
A final invoice will be issued for any outstanding hours used beyond the retainer (if applicable).
7. Service Transition
Upon cancellation, clients will receive:
A handoff document (e.g., logins, workflow summaries).
30 days of read-only access to shared systems (e.g., Google Drive, Trello).
8. Retainer Exceptions
Queen Bee & Swarm Squad Tiers: Due to high-touch support, these tiers require 30 days’ notice for cancellation.
9. Reactivation
Clients rejoining within 60 days will avoid new onboarding fees but must commit to a 3-month minimum contract.
10. Non-Negotiable
Outstanding balances must be settled before data or access is transferred.
Abuse of services (e.g., harassment, scope violations) may result in immediate termination without refund.
